Agency Transaction Manager - Johannesburg

Agency Transaction Manager (4 month contract) Functional unit Investment Banking Operations Agency Transaction Management Unit Agency TM is to co-ordinate the end-to-end deal life cycle of syndicated SBSA Investment Banking originated products , as well as any third party, originated transactions to which SBSA Agency has been assigned as the Facility Agent, focusing on facility origination post financial close , ongoing facility management in terms of the underlying legal agreements and document management on the banks syndication platform (currently Debt Domain) Key Responsibilities Once drafted legal agreements available, ensure transaction being negotiated can be facilitated on systems. Ensure client loaded onto internal system (If not, once KYC has been obtained, send instructions to Ops to upload. After scrutinising Documents, originate all facilities on system at Financial Close (document signature date, ensure transaction on system reflects transaction structure as per the legal agreements Fee Accrual schedules. ACBS Covenant Reminders, if applicable. Lenders/Investors and associated participation amounts SSI obtained and sent to IBOPS for capture Ensure Project Accounts opened as per Account Bank agreement Lender-controlled accounts to have Agency team members as signatories; and Ensure access is correct for clients loaded on the Business online Agency Profile For new deals and refinances/extensions of existing deals and secondary distributions, ensure receipt of copies of Legal Agreements; CP documents (including CSs where applicable), and Authority Sought and upload these onto Debt Domain. Comprehensive handover of new deals and amendments/refinances/extensions of existing deals to Loans Admin team: Complete New Deal Summary template (copy to Loans Admin) Coordinate meetings with Loans Admin to discuss New Deal Summary template and perform deal handover. Send copies of executed Facility Agreement to assigned Loans Administrator. Instruct Initial and Subsequent Facility Utilisations: If applicable ensure all CPs to utilisation have been met or waived by Lenders Confirm KYC compliance prior to instructing pay away. Ensure utilisations are within agreed Facility Limits. Complete Loan Loader form and Payment Authorisation form for all utilisations. Provide a capital repayment profile with all loan loader forms. Forward the Loan Loader form, Payment Authorisation, and capital repayment profiles to Loans Admin prior to agreed processing cut off times. Coordinate exceptions, waivers, refinancing, extensions, and amendments with all stakeholders Ongoing deal management on ACBS: Ensure facility limits maintained in line with agreements. Final Maturity and Availability Period end dates correct Investor participation is in line with lender of records (transfer certificate, etc.) Communicate above amendments to the Loan Administrator if applicable Manage deal covenants on Debt Domain and update all covenants as applicable Follow up and manage outstanding fees and the recovery thereof in conjunction with Loans Admin: Coordinate receipt of commercial risk covenants and information undertakings from the Borrower on behalf of the syndicate Transact on clients bank accounts as mandated per the Account Bank Agreement. Ensure Front Office aware of impending and existing clients whose KYC status is non-compliant by perusing all KYC lists which are electronically circulated Resolve deal-specific queries between lenders and borrower Coordinate lender and borrower meetings and conference calls Coordinate early prepayment of any facilities with Loans Admin, and the syndicate of Lenders, including finalising Breakage Costs (if any). Advise Product Control to identify any fees being amortised for any deals prepaid before final maturity date. With consultation of Agency Front Office, coordinate return of security to Borrower upon final repayment of facility, if applicable. Cancel fully repaid facilities on ACBS, once Loans Administration have cancelled all loans Assist with business projects e.g., providing Management information, performing a business analysis, or testing any new systems, etc. Attend TMU meetings, Business WIP meetings, IBO Townhall sessions, Business off-sites and client meetings Complete Personal Development Plans on an annual basis and update when applicable (meetings with line manager to discuss progress) Adhere to regulatory compliance requirements. Take full ownership and responsibility for your deals Key Performance Measure Deals originated are managed effectively within operating capabilities in line with legal, regulatory and compliance requirements. With maximum use of loan system. Agency fees invoiced and recovered for the full portfolio managed. Number of findings reported via the governance process review on deals managed that is not in line with the operating model. Number of Operational Risk Incidences reported on deals managed. Where requested, number of instances where system testing, or input is required into projects requiring the assistance of TMU is not provided or adequately completed. Information Technology Qualification and Experience Undergraduate degree in Commerce, Business Science Experience within a Transaction Management, Agency or equivalent Middle Office environment; or Experience within a Finance Team; or Experience within an Internal Audit team; or Experience as a Credit Manager; or Completion of Articles with a bank or auditing firm Technical competencies Financial and numerical skills Risk Management Project Management Computer Literacy Ability to understand and interpret legal documents Apply Now
