VACANCY NOTIFICATION Fix Term Contract (12 x Months) Position: Legal Counsel Location: Tshipi é Ntle Manganese Mining, Bryanston, Johannesburg VACANCY STATUS PUBLISHED DATE 19 February 2024 CLOSING DATE 01 March 2024 POSITION DESCRIPTION Legal Counsel PATTERSON GRADING C Lower REPORTING TO Head of Legal and Governance DIRECT REPORTS N/A PURPOSE OF THE JOB To support the Head of Legal in overseeing the Company's legal and governance matters. The incumbent will play a critical role in ensuring that the Company operates within the legal and regulatory frameworks. KEY PERFORMANCE AREAS Supporting the Head of Legal and Governance in the following areas: Legal, which includes the following: All legal aspects of the business including, the drafting, review and negotiation of all agreements concluded by the company (which support all company functions); Advice on various legal queries from all departments, including labour, and employment, health and safety, environmental, mining, and other related legislation; Advice on litigious matters the company initiates or is involved in Advice on legal and commercial risks associated with decisions of the company Governance, which includes the following: Ensuring compliance with constitutional documents and policies and record-keeping in relation thereto Training on compliance with policies Ensuring compliance with all applicable laws Advising on compliance with constitutional documents, policies and all applicable laws Preparing documents required to procure compliance with constitutional documents and policies, like board and shareholder resolutions and related mandate or authority request forms Company Secretariat, which includes the following: Facilitating preparations for all committees (executive committee, audit and risk committee, remuneration committee and social and ethics committee etc.), board and shareholder meetings, including preparation and consolidation of the relevant submissions to the various bodies Providing secretariat or support for all other internal committees, as such is required from time to time Reviewing the minutes of the meetings of the various bodies Facilitating the completion of action items from the meetings of the various bodies Engagements with the Companies and Intellectual Property Commission on amongst others, director changes, financial year changes, and such other reporting requirements which fall within CIPC's mandate; and procuring the preparation of the relevant supporting documents in relation thereto. MINIMUM QUALIFICATIONS REQUIRED Matric (Grade 12) LLB Degree Admission as an Attorney MINIMUM EXPERIENCE AND KNOWLEDGE REQUIRED 1 to 3 years industry experience Commercial and Labour practice (advantageous) Mining industry experience (advantageous) ATTRIBUTES Strong communicator High level of English proficiency Financial acumen with high levels of attention to detail Strong organisational abilities and the ability to multi-task, with at times, competing and conflicting levels of priority Proficient in Microsoft Office packages High level of integrity (to deal with confidential information) Deadline driven Self-Starter COMPETENCIES • Team player • Discernment • Attention to detail • Initiative • Integrity • Good decision making skills APPLICATION PROCESS Applicants who meet the key requirements of the job must apply via the Tshipi website: www.tshipi.co.za, click on Opportunities, click on the relevant vacancy and apply, on or before 01 March 2024.
