OVERVIEW

Terra Firma has an exciting opportunity for a Contracts Manager to join its team overseeing the ownership, engineering, procurement and construction of various Solar PV and Battery Energy Storage Systems within the Commercial and Industrial Sector. The Contracts Manager will play a crucial role in ensuring the effective management of contracts, subcontracts, and agreements related to these projects. This individual will work closely with various stakeholders, including contractors, suppliers, business development, engineering, finance and legal teams, to ensure that all contractual obligations are met and risks are appropriately managed.

RESPONSIBILITIES

  • Contract Preparation and Review:
    1. Drafting, reviewing, preparation, negotiation, and management of contracts and agreements. Including but not limited to Power Purchase Agreements, EPC Agreements, O&M Agreements and Subcontracts.
    2. Ensure that contract terms comply with company policies and legal requirements.
    3. Review and analyse contract terms and conditions, identifying potential risks and proposing risk mitigation strategies.
    4. Ensure contracts align with project specifications, budget constraints, and schedule requirements.

  • Manage end-to-end Tender Response
    1. Vetting and review of all incoming tenders.
    2. Effective liaison, support and assistance between Business Development team and rest of organisation to enable accurate and timely tender submissions.
    3. Maintain and improve mechanisms for obtaining Tender opportunities, surveying and measuring tender process and disseminate feedback to the appropriate internal stakeholders.
    4. Responsible for developing the company’s tender process strategy to align with the broader business development goals.

  • Vendor and Supplier Relations:
    1. Collaborate with procurement to ensure compliance with contractual agreements and assist in negotiating terms to achieve the best value for a project.
    2. Evaluate vendor and supplier performance against contractual obligations.

  • Change and Variation Management:
    1. Work with project management to evaluate change requests, negotiating terms as necessary.
    2. Ensure proper documentation and communication of any changes to relevant stakeholders.

  • Risk Management:
    1. Identify and assess potential risks associated with contracts and agreements.
    2. Develop and implement risk mitigation strategies.
    3. Monitor and update risk assessments throughout the project lifecycle.

  • Compliance and Legal Matters:
    1. Ensure contracts comply with legal and regulatory requirements.
    2. Work closely with legal team to resolve contractual disputes and claims.
    3. Keep abreast of changes in relevant laws and regulations affecting contracts.

  • Document Control:
    1. Establish and maintain a systematic document control system for all contracts and related correspondence.
    2. Ensure proper filing, version control, and accessibility of contract documents.
    3. Maintain accurate and up-to-date records of contractual obligations.

  • Reporting:
    1. Provide regular reports on the status of contracts, including key metrics and potential issues.
    2. Collaborate with project management and finance teams to track contract budgets and expenditures.
    3. Communicate contract-related updates to relevant stakeholders.

QUALIFICATIONS

  • Bachelor's degree in Business, Law, Contracts Management, or a related field.
  • 2 years’ experience in a similar role.
  • Proven experience as a Contracts Manager, preferably in the construction or renewable energy industry.
  • In-depth knowledge of contract law, contract types, and negotiation strategies.
  • Strong analytical and problem-solving skills.
  • Excellent communication and negotiation skills.
  • Ability to work collaboratively in a cross-functional team.
  • Proficiency in contract management software and Microsoft Office Suite.
  • Proficiency in English at a business communication level.
