We are an innovative Corporate with a dynamic culture and we are currently seeking a Corporate and Commercial Lawyer to deal with business and commercial legal matters. You will be assisting the business owners and managers with drafting and negotiation of agreements, structuring of transactions, assisting with mergers and acquisitions, governance and compliance, briefing of external legal advisors, while also being able to help with any other company issues that might require input. You will be responsible for the drafting of important legal documents and ensuring that the intellectual property is legally protected. The successful candidate should be able to provide legal advice and expertise in the following areas - Provide legal advice and support to all business units, functional areas and advise management teams on legal matters. Act as an advisor on legal issues involving the company's governance and regulatory compliance. Design and implement corporate governance structures. Advise directors and shareholders with regard to the requirements of the Company's MOI and Shareholders Agreement, as well as the Companies Act. Identify and communicate current and anticipated legal and/or financial risks with a legal implication. Identify room for improvement or 'loopholes' in the current business processes and approaches Provide guidance on the assessment and monitoring of the internal controls to drive compliance with all relevant laws and regulations. Monitor, analyse and evaluate the impact and legal implications of developments in the insurance and financial services industries and related areas, including the activities of competitors. Conduct comprehensive reviews on various contracts within the company. Draft various contracts for the business units. Develop operational procedures and policies for tracking, maintaining and updating the company's legal documentation and records and manage the compliance obligations and record-keeping in the contract management system (CMS). . Benchmark current practices against the group risk management framework and adjust practices as and when necessary. Provide advice on business practices and policies to ensure legal compliance and protect the company from legal action. Proactively resolve disputes to avoid litigation and Ombudsman referrals. Deal with litigation matters involving the company to manage legal risk and liaise with Ombudsman when necessary. Primary Responsibilities: Drafting of commercial agreements such as Shareholder agreements, Non-disclosure agreements, Memoranda of incorporation, Sale of Shares, Subscription Agreements, Lead Services Agreements, Term sheets, binder agreements, intermediary agreements and the like. Reviewing Agreements received from counterparties and advising the group as to the acceptability of same. Drafting of Board Resolutions and Shareholder Resolutions Negotiating with other businesses Providing opinions on legal issues arising in the business Ensuring the Company's Intellectual Property is appropriately managed and protected Implementing a uniform approach to legal risk and contracting within all business units Keeping up to date with the developments in applicable legislation Competencies and personal attributes: Must be well organised and conscientious. Strong communication skills (verbal and written). Strong commercial drafting skills. Display attention to detail. Good interpersonal skills. Maintain confidentiality. Reliability and self-motivation very important. Must be technologically savvy and willing to embrace technological advancements such as AI Must have strong MS Word capability and be able to format and produce your own documents. Must be able to work in MS Excel. Desired Experience & Qualification: 3 years post-articles relevant experience. Proven track record of having worked on transactions/projects as per the above Primary responsibilities. Must have a strong working knowledge of the Companies Act and general company laws.
