Purpose of this role: Supporting Development/Transaction Team to bring renewable projects (wind, solar, biomass, hydro and BESS) to Financial Close. EPC / IPP manager for one or multiple renewable projects during execution (detail design, construction, commissioning, and defect liability period) according to the requirements of the applicable Company procedures. As applicable for EPC or IPP roles, responsible for procurement of service providers, contractors, and suppliers for the execution of renewable projects; and, Coordination of strategy and execution for projects under the same client (off taker) during all relevant phases. KPA's: General: Use reasonable endeavors to remain abreast with market and technological developments and to identify new technologies that may contribute towards the development of the Business and improvements in the Company. Foster and lead a corporate culture that promotes sustainable ethical practices, encourages individual integrity, and fulfils social responsibility objectives and imperatives. Recommending policy and procedure improvements. Ensuring overall compliance to all the internal Policy and Procedures of the Company (IMS: Integrated Management System), including compliance with Corporate ESMS (Environmental, Social, Management System), IFC Standards and Equator Principles. Carry out duties in a proper, loyal, and efficient manner to the best of their ability and at all times act in good faith and use their best endeavors to properly conduct, improve, extend, develop, promote, protect and preserve the business interests, reputation and goodwill of the Company and not do anything or engage in any activity which is or may become harmful or contrary to such interests. Immediately disclose to the Employer any information which comes to their knowledge, and which does, or may, lead to them not being lawfully able to perform their duties or responsibilities. Ensure a clear and consistent approach is in place to manage risk across project portfolio with alignment to the Finance & Business risk registers and the corporate risk register. Development and Transaction Phase Support Business Development (Development and Transaction teams) to identify construction and operations risks in the early stage of the project development. Responsible for Budgeting and Scheduling to define the main technical assumptions that will be part of the financial model of the Owner. Support Transaction team during the financing due diligence, including responsibility for technical due diligence (Lender Technical Advisor, etc.). Ensure a project budget, incorporating the necessary soft and hard costs, is developed, and agreed with the Owner's shareholders. In coordination with Strategic Procurement team, take responsibility for procurement of contractors (EPC Contractor / BOP Contractors / Equipment Suppliers / Design Consultants / etc. as the case may be for IPP and EPC roles) during the Transaction phase. This includes generation of Requests for Proposal (RFPs), with the necessary technical and commercial schedules; evaluation of proposals with Transaction team and Engineering team; negotiation of commercial terms; and finalization of contracts for execution. Ensure that the construction contractor and its subcontractors are properly insured and bonded. Responsible for the cost solidity of the project at Financial Close; and, Align input assumptions, commercial approaches, and obligations to the client (off taker) in the case of multiple projects being delivered to the same client. Execution Phase (The company in IPP role and/or EPC role) The Portfolio Project Manager will undertake all responsibilities of the Project Manager role as outlined below (which may potentially be partly or fully delegated to project-specific Project Managers), and furthermore shall coordinate (I) the execution of project/s and (ii) interaction with the client in the case of a portfolio of projects being undertaken for the same client (off taker).During the Execution Phase, the Portfolio Project Manager is responsible and accountable for managing the following aspects of a project in an integrated manner to achieve project objectives: scope, schedule, cost, quality, resources, procurement, risks, communication, and stakeholder engagement. Ensuring overall compliance to the Corporate ESMS (Environmental, Social, Management System) IFC Standards and Equator Principles as well as applicable laws of relevant jurisdictions, including South Africa. Ensure that effective Health, Safety and Environmental process and systems are in place so that no serious injuries to any persons on the plants happens. Control procurement of subcontractors and suppliers to the TSA and BOP Contractors and/or EPC Contractor: manage the selection of the main suppliers and subcontractors as well as the negotiations, in conjunction with strategic procurement function. Manage the TSA and BOP and/or EPC Contractor, suppliers, and consultants during the construction phase to ensure completion of the project within time, budget, and quality as per the TSA and BOP contracts. Manage the O&M Contracts during the Defects Liability Period. Manage the following agreements: PPA (Power Purchase Agreement) signed with Eskom, Eskom Budget Quote, DCUOSA, Self-Build Agreement and other relevant agreements. Support the Asset Management team, when required, on other signed agreements (i.e.: CTA Agreement with the banks, etc.) and particularly to ensure the project obligations in terms of the loan agreement (CTA) are monitored and managed to ensure it remains fulfilled on an ongoing basis. Be aligned with the process and procedures of the company's Asset Management. Be compliant with the Asset Management signed contract with the project company. Respect compliance of the Economic Developments under the Project Agreements. Manage the project team (Project Manager/s, Project Engineer, Construction Manager, Site Superintendent, Health and Safety Manager, Environmental Manager, Quality Manager, Commissioning Manager, etc.…) before, during, and after the construction phase. Direct internal operations to achieve project budgeted results and other financial criteria, and to preserve the capital funds invested in the project. Ensure that all the relevant insurances, permits and contracts remain in full force during the construction of the facility. Ensure that the project is going to be designed and built-in in accordance with law and all relevant permits (EIA, EMPr, water authorization, building permits, etc.….). Managing relationships with landowners and the local community. Be aligned with the land lease agreement signed by the project company. Perform on-site inspections for quality of workmanship, quality of materials, conformity with plans & specifications, code compliance, on-site safety, project schedule vs progress, and general progress of the construction project. Maintain observation reports/logs including work description, work methods, contractors on site, weather conditions, observations, photos, etc. Attend, or conduct, periodic construction progress meetings with the TSA and BOP contractors. These meetings should include discussions with respect to potential or pending change orders, problems, schedule, budget, requests for information, and any other areas of interest. Managing interface between the different contractors. Review progress billings from the TSA and BOP contractors and/or EPC Contractor and when required, negotiate revisions. Ensure all lien/claim releases are executed. Monitor the schedule throughout the process, report deviations and variances, and assist in developing alternate methods for corrective action. Assess impacts to the critical path and near-critical activities and report to the project team and shareholders. Manage the requirements of the Management Services Agreement to ensure the Company and its stakeholders remains compliant with the signed contract with the Associated Company Issue Internal Reports to the Company as well as a Monthly Report to the relevant stakeholders by highlighting progress, risks and opportunities and any other main information pertinent to the project. Review and assess if each of the contract milestones have been achieved and prepare and issue the relevant certificate duly signed. Record all certificates, change orders, amendments, etc. and ensure compliance with the company document control procedures. Ensure all the TSA and BOP contract and/or EPC Contract requirements are fulfilled before the final completion is released. Manage the punch list during the latter part of the construction phase until the completion thereof. Hand over the project documents to the relevant party. Participate in senior management and board level and EXCO level meetings and committee, if required. Responsible for Car and Food Management on site (and all related costs) in accordance with the company's Policy and Procedures. Requirement for this role: A related tertiary qualification. SACPCMP preferable. Previous experience in Renewable Energy Development and Construction. 15 years' experience in major engineering infrastructure projects preferred. 5 years' experience in renewable generation project preferred. Technical and Behavioral competencies: Excellent written and verbal communication Strong planning and prioritization skills - able to be self-directed and deliver on deadlines.
